At the meeting of our Company's Board of Directors held on 12/10/2026; Pursuant to the agreement signed on 16.09.2026 for the sale of all of the shares held by our Company in the share capital of our subsidiary Metrobil Teknoloji A.Ş., representing 75% of its share capital, to Mehmet Horasan, a shareholder of Metrobil Teknoloji A.Ş., for a consideration of TRY 95,000,000.00, within the scope of the Capital Markets Board's Corporate Governance Communiqué (II-17.1) and related legislation, it was unanimously resolved to commence valuation work, to be accepted as the reference for the sale price, by signing an agreement today, 12.10.2026, with SGD Bağımsız Denetim A.Ş., a CMB-licensed firm, for the purpose of determining the fair market value of the said shares as of the transfer date.
