Invitation to the 2025 Ordinary General Assembly Meeting

The Ordinary General Assembly Meeting of our Company will be held on Monday, 8 June 2026 at 11:00 at the Safir Meeting Hall, Centrum İş Merkezi A.Ş., Aydınevler Mahallesi, Sanayi Caddesi, Centrum Plaza A Blok No:3/Z01, Maltepe, Istanbul, in order to review the activities of the Company for the year 2025 and to discuss and resolve upon the agenda items set forth below.

The Company’s Financial Statements for the year 2025, the Independent Auditor’s Report prepared by Mitra Bağımsız Denetim A.Ş., and the Board of Directors’ Annual Report, including the Board of Directors’ proposal regarding profit distribution, will be made available for the review of our esteemed shareholders at least three weeks prior to the date of the General Assembly Meeting, within the statutory period, at the Company’s headquarters, on the Company’s corporate website at www.dengeholding.com.tr, on the Public Disclosure Platform, and through the Electronic General Assembly System of the Central Securities Depository of Türkiye (MKK).

Participation in the General Assembly Meeting will be determined based on the “List of Shareholders” obtained from the MKK. The status of persons physically attending the meeting as shareholders or their representatives will be verified based on this list. Shareholders whose shares are monitored in dematerialized form by the MKK and who are entitled to participate in the General Assembly Meeting may attend the meeting to be held at the above-mentioned address in person or through their representatives. Alternatively, they may participate electronically, either in person or through their representatives, via the Electronic General Assembly System (e-GKS) provided by the MKK, using their secure electronic signatures. Shareholders or representatives wishing to participate electronically must possess a valid electronic signature certificate.

Shareholders may authorize their representatives through e-GKS. Alternatively, pursuant to the provisions of the Capital Markets Board’s Communiqué on Proxy Voting and Proxy Solicitation (II-30.1), they may be represented at the meeting by completing the proxy form available at the Company’s headquarters and on the Company’s corporate website at www.dengeholding.com.tr, and either having their signatures notarized or attaching a notarized signature circular to the proxy form bearing their signature.

For physical attendance at the General Assembly Meeting:

Individual shareholders must present their identification documents.
Legal entity shareholders must present the identification documents and authorization documents of the persons authorized to represent and bind the legal entity.
Representatives of individual and legal entity shareholders must present their identification and representation documents.
Representatives authorized through e-GKS must present their identification documents and sign the list of attendees.

Shareholders who will participate in the General Assembly Meeting electronically via e-GKS may obtain information regarding the procedures and principles relating to participation, appointment of representatives, submission of proposals, expression of opinions, and voting from the MKK’s website at www.mkk.com.tr.

Shareholders or their representatives wishing to participate in the meeting electronically are required to fulfill their obligations in accordance with the “Regulation on General Assembly Meetings of Joint Stock Companies to be Held Electronically,” published in the Official Gazette dated 28 August 2012 and numbered 28395, and the “Communiqué on the Electronic General Assembly System to be Applied at General Assembly Meetings of Joint Stock Companies,” published in the Official Gazette dated 29 August 2012 and numbered 28396.

At the Ordinary General Assembly Meeting, without prejudice to the provisions regarding electronic voting on agenda items, open voting by a show of hands will be used.
